Platform terms
Platform terms
Last updated: 25 October 2026
These terms apply to everyone who uses the Innate platform: the client portal, confirmation reply links and the audit firm workspace. By signing in or using a link we send you, you accept them. Use of our public website is covered by our Terms of use.
1. Who we are
The platform is provided by Apeiros Inc., a Delaware corporation, trading as Innate Audit ("Innate", "we", "us"). Our address is 15169 N Scottsdale Rd, Suite 205, Scottsdale, AZ 85254, USA. You can contact us at info@innateaudit.com. More detail is on our Company information page.
Innate is a software company. We are not an audit firm and are not registered as an auditor.
2. What the platform is, and what these terms do not cover
The platform is software on which a statutory audit is prepared, reviewed and recorded. Each audit is carried out and signed by an ICAEW-registered partner firm, which the company appoints as its auditor under the firm's own engagement letter. That letter governs the audit, including the auditor's liability. Innate is not a party to it, and nothing in these terms makes us the company's auditor or adviser.
If you are an audit firm with a signed written agreement with Apeiros Inc., that agreement applies where it covers a matter, and these terms fill any gap.
3. Who may use it
- Client portal. People an audited company authorises on its engagement, by invitation only. Use the portal only for the engagement you were invited to.
- Confirmation replies. Some people are sent an individual link to reply to an audit confirmation request, for example a bank or a customer of the audited company. A reply made through that link is a statement to the company's auditor, the partner firm. It must be made by the party the request was addressed to, or by someone authorised to reply for it.
- Audit firm workspace. The people at the partner firm whom it authorises.
4. Your account
Keep your sign-in to yourself and do not share your account. You are responsible for what is done under it. Tell us at info@innateaudit.com straight away if you believe an account has been compromised.
5. Data, confidentiality and records
The company owns its records. The audit documentation prepared on an engagement belongs to the partner firm, as the auditor, and is retained as the auditing standards require, even if the company later asks for it to be deleted. We handle records on the platform on the partner firm's instructions, keep them confidential, and use them only to provide the platform. How they are handled, how long they are kept and where is set out in Data processing, and how we handle personal data in our Privacy notice.
What happens on the platform is recorded: who uploaded, viewed, confirmed or changed what, and when. That record forms part of the audit documentation and cannot be altered.
6. Acceptable use
Do not:
- use the platform in a way that breaks the law or infringes anyone's rights;
- upload anything malicious, or anything you have no right to share;
- try to gain access you have not been given, or probe, test or disrupt the platform or the systems behind it;
- copy, reverse engineer or resell the platform, or use it or its outputs to build a competing product.
7. AI-assisted features
Some features use AI models to draft, summarise or propose. Their outputs are drafts. They become part of the audit only when a named person at the partner firm reviews and adopts them, and every judgement on the audit is the auditor's. Do not treat an AI output as advice or as an audit conclusion.
8. Availability
We aim to keep the platform available and secure, but we provide it as it is and as available, without a service level unless one is agreed in writing. We may change, improve or withdraw features, and will give reasonable notice of a change that materially reduces what you rely on.
9. Intellectual property
The platform, its software and its design are owned by Apeiros Inc. or its licensors. We give you a non-exclusive, non-transferable right to use the platform for the engagement or the firm you are authorised for, while that authorisation lasts. You keep any rights you have in what you upload.
10. Suspension and ending access
We or the partner firm may suspend access where it puts the platform or anyone's data at risk, where these terms are broken, or when the people on an engagement change. Access to an engagement ends when the company or the partner firm withdraws it. Sections 5, 9, 11 and 14 continue after access ends.
11. Our liability
11.1 Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.
11.2 To the extent the law allows, we are not liable for any loss of profit, revenue, business, goodwill or anticipated savings, or any indirect or consequential loss, arising from your use of the platform.
11.3 We are not liable for loss or corruption of data, except to the extent it results from our failure to take reasonable care, including keeping reasonable backups; in that case our liability is limited to the reasonable cost of restoring the data from our latest backup.
11.4 Our total liability to you arising out of or in connection with the platform, whether in contract, tort (including negligence) or otherwise, is limited in any 12-month period to the greater of (a) the fees paid to Apeiros Inc. or any of its subsidiaries for the platform in the 12 months before the event giving rise to the claim and (b) GBP 100.
11.5 Liability for an audit is a matter for the partner firm's engagement letter. Section 11 does not extend or reduce it.
12. Consumers
The platform is for business use. If you use it as a consumer, we do not exclude any right you have under the Consumer Rights Act 2015 or other consumer law.
13. Changes to these terms
We may update these terms. The version on this page, with its "Last updated" date, is the one that applies. We will tell signed-in users of a significant change before it takes effect.
14. Law and courts
These terms, and any dispute or claim arising out of or in connection with them or the platform, are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
15. General
If a court finds part of these terms invalid, the rest continues to apply. If we do not enforce a term straight away, we can still enforce it later. Nobody other than you and Apeiros Inc. has any right to enforce these terms.
